PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THIS IS A BINDING LEGAL AGREEMENT.
These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "You," or "Your") and Mintzi LLC, a Wyoming Limited Liability Company ("Mintzi," "We," "Us," or "Our"). By downloading, installing, accessing, or using the Mintzi mobile application (the "App"), website, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: SECTION 14 OF THESE TERMS CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. THIS SEVERELY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, TO HAVE A JURY TRIAL, AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
By creating an Account, accessing the App, or engaging in any activity to earn Rewards (as defined below), you signify your irrevocable acceptance of these Terms. If you do not agree to these Terms, you may not access or use the Services.
You represent and warrant that you are at least eighteen (18) years of age and have the full legal capacity to enter into this Agreement. The Services are not intended for, nor directed towards, children under the age of 18. Mintzi reserves the right to request proof of age at any stage to verify that minors are not using the Service.
Mintzi reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time. If a revision is material, we will provide at least seven (7) days' notice prior to any new terms taking effect via the App interface or email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the new Terms.
The Services are controlled and operated from facilities in the United States. Mintzi makes no representations that the Services are appropriate or available for use in other locations.
RESIDENTS OF THE STATE OF NEW YORK ARE STRICTLY PROHIBITED FROM USING THE SERVICES.
Mintzi does not possess a "BitLicense" issued by the New York Department of Financial Services (NYDFS) pursuant to 23 NYCRR Part 200. Accordingly, Mintzi does not engage in any "Virtual Currency Business Activity" (as defined by 23 NYCRR § 200.2(q)) with New York residents.
Access to the Services from outside the United States is strictly prohibited. Furthermore, you represent that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties, including the OFAC Specially Designated Nationals (SDN) list.
You agree not to use any Virtual Private Network (VPN), proxy, Tor, "residential proxy," or other IP masking service to disguise your physical location, spoof your device's geolocation, or circumvent these geographic restrictions. Detection of such tools is grounds for immediate Account suspension and permanent forfeiture of all Rewards. You agree to indemnify Mintzi for any regulatory fines or legal costs incurred due to your fraudulent bypass of our geofencing measures.
To access the Services, you must register a user account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You may not create more than one Account. Creating multiple Accounts to bypass limits, exploit the referral system, or for any other purpose ("Sybil Attack") is strictly prohibited.
You may strictly use only one mobile device per Account. Logging into a single Account from multiple devices, or logging into multiple Accounts from a single device, is considered fraudulent activity and may result in Account suspension.
Mintzi operates a digital marketing platform where users can view advertisements, play games, complete surveys, and engage with third-party content ("Offers") to earn loyalty points.
Users may redeem valid, unexpired Cryptore for Bitcoin (BTC) or USD payout services, subject to minimum thresholds and daily limits displayed in the App.
Mintzi is not a money transmitter, a bank, or a cryptocurrency exchange. Mintzi does not hold, custody, or transmit user funds. We do not provide a "wallet" service. Mintzi acts as the agent of the payee (the User) for the limited purpose of facilitating the receipt of rewards from advertisers and directing those rewards to the User.
The amount of Bitcoin you receive is calculated by the Payment Processor at the moment the transaction is executed. You acknowledge that the price of Bitcoin is highly volatile. Mintzi is not responsible for any difference in value between the time you request a redemption and the time the transaction is finally settled on the blockchain or Lightning Network.
You are solely responsible for determining and paying any applicable federal, state, or local taxes on Rewards received. Mintzi considers Rewards to be promotional rebates or discounts, but if treated as income by tax authorities, you bear full liability. Mintzi may require you to provide a valid Form W-9 if your earnings exceed the IRS reporting threshold.
To maintain a sustainable ecosystem and manage liability, Mintzi enforces a strict expiration policy for inactive accounts. This policy is consistent with industry standards in the hyper-casual gaming rewards sector (e.g., Mistplay, Fetch Rewards).
If you do not earn any new Cryptore points from a valid earning activity for a period of one hundred and twenty (120) consecutive days (the "Inactivity Period"), your Account will be deemed "Inactive."
Upon the conclusion of the 120-day Inactivity Period, the limited license granted to you to access and use the accrued Cryptore points will be revoked, and all unredeemed Cryptore points remaining in your Account will immediately expire and be forfeited. Your Cryptore balance will be reset to zero (0). Expired points cannot be reinstated.
You acknowledge and agree that Cryptore points are issued pursuant to a promotional loyalty program and that no money or other thing of value has been given by you in exchange for these points. Your engagement with advertisements, surveys, or games is voluntary and does not constitute financial consideration. Therefore, you agree that Cryptore points are not "gift certificates" under California Civil Code § 1749.5 or similar state laws, and are subject to expiration under the terms of this promotional program.
Mintzi is committed to providing you with fair notice before your points expire. We will send alerts to the email address associated with your Account at the following intervals prior to the expiration date:
It is your responsibility to ensure your email address is current. Failure to read these notifications does not exempt you from the forfeiture of points.
Mintzi offers a "Refer-a-Friend" (RAF) program allowing you to earn bonuses for inviting new users to the App.
You will only earn a referral bonus for invited users ("Referees") who meet ALL of the following criteria:
Referral bonuses are not paid upon sign-up; they are contingent upon the Referee's engagement and successful cash out.
To prevent fraud and abuse, you are eligible to earn bonuses for a maximum of ten (10) Qualified Referrals per calendar year (or lifetime of account, as determined by current app settings). Once you have earned bonuses for 10 friends, you will no longer be eligible for RAF rewards for subsequent invites, although new users may still use your code to join.
Self-referrals, referrals of fake accounts, referrals generated via scripts, bots, or emulators, and referrals sourced from "click farms" are strictly prohibited. Mintzi reserves the right to reverse all referral rewards, disqualify you from the RAF program, and suspend your Account if referral fraud is suspected.
You agree that you will not violate any law, contract, intellectual property, or other third-party right while using the Services. Prohibited activities include, but are not limited to:
Mintzi employs sophisticated fraud detection systems to monitor Account activity. We reserve the right to immediately suspend or terminate your Account, and/or restrict access to specific features (such as redemption), at our sole discretion if we suspect fraudulent activity or a violation of these Terms. During an investigation, your ability to redeem Cryptore will be frozen.
Mintzi reserves the right to debit your Cryptore balance or reverse a pending redemption if we determine that:
The App, including its code, design, graphics, logos, and the "Mintzi" name, are the proprietary property of Mintzi LLC and are protected by copyright and other intellectual property laws.
Mintzi grants you a limited, revocable, non-exclusive, non-sublicensable license to use the App solely for your personal, non-commercial entertainment. You may not reverse engineer, decompile, disassemble, or modify the App.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MINTZI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MINTZI DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES (INCLUDING POINT TRACKING) WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR EXPECTATIONS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINTZI LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR PARTNERS (INCLUDING STRIKE AND PRODEGE) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL MINTZI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE USD VALUE OF ANY REDEEMABLE CRYPTORE IN YOUR ACCOUNT AT THE TIME OF THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
You agree to indemnify, defend, and hold harmless Mintzi LLC and its officers, directors, employees, and partners (including Zap Solutions, Inc. and Prodege, LLC) from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any other person or entity; (d) your violation of any applicable laws, including but not limited to the New York BitLicense regulations; or (e) any content or information you upload or provide to Mintzi.
These Terms and any action related thereto will be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Except for disputes subject to arbitration as described in Section 14, you and Mintzi agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Laramie County, Wyoming.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Wyoming, or virtually via videoconference if agreed by both parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
YOU AND MINTZI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both you and Mintzi agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
You have the right to opt out of this arbitration agreement by sending a written notice of your decision to opt out to Mintzi LLC at 1309 Coffeen Avenue STE 1200, Sheridan, Wyoming 82801 or via email to support@mintzi.com within thirty (30) days of first accepting these Terms.
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced to the fullest extent under law. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mintzi regarding the Services and supersede all prior or contemporaneous agreements or understandings.
